1. Introduction

These Terms and Conditions ("Terms", "Terms and Conditions") govern your relationship with http://packwire.com (the "Service") operated by Packwire Inc ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms as well as our Privacy Policy. If you do not agree with these Terms, please do not use the Service.

Packwire is a custom packaging manufacturer offering a range of products including mailer boxes, rigid boxes, folding carton boxes, and shipping boxes. Our online configurator ("Configurator") allows you to customize dimensions, materials, coatings, and artwork for your packaging.

For purposes of these Terms, the following definitions apply:

  • "Order" means a request submitted by the Customer through the Service for the production of one or more Products.
  • "Product" means any custom packaging item manufactured by Packwire pursuant to an Order.
  • "Online Proof" means the digital preview of the Customer's Product generated by the Service for review and approval prior to production.
  • "Configurator" means the online design tool provided by the Service that allows Customers to customize Product specifications including dimensions, materials, coatings, and artwork.
  • "Customer" means any individual or entity that accesses or uses the Service, including placing Orders.
  • "Artwork" means any images, graphics, text, logos, designs, or other visual content uploaded or provided by the Customer for use on a Product.
  • "Production" means the manufacturing process that begins after a Customer approves the Online Proof.
  • "Core Business" means the services directly available on our website (packwire.com) and accessible through its functionalities, including our 3D box configurator tool. Core Business applies to corrugated cardboard boxes and to order quantities of 1,000 units or fewer. Rigid boxes and folding boxes may or may not qualify under this definition due to cost, availability, and operational constraints. Orders exceeding 1,000 units are classified as bulk orders and may involve different production methods, materials, suppliers, timelines, and fulfillment processes. Orders where the transaction was not completed through the checkout page hosted on packwire.com (including but not limited to orders placed via live chat, email, phone, social media, or any other channel) fall outside the Core Business definition. Practices, standards, and commitments described on the Service in relation to our Core Business do not necessarily apply to bulk orders or orders placed outside the website.
  • "Business Unit" means any operational segment of Packwire Inc, whether or not it constitutes a separate legal entity, as well as any subsidiaries, affiliates, entities owned in whole or in part by Packwire Inc, and third-party partners or contractors acting on behalf of or in association with Packwire. Packwire reserves the sole right to designate, create, modify, or dissolve Business Units at its discretion, to the fullest extent permitted by applicable law.

By placing an Order, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety.

2. Age and Eligibility

You must be at least 18 years of age to use the Service or place an Order. By using the Service, you represent and warrant that you are at least 18 years old. If you are using the Service on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms. We reserve the right to request verification of age or authority at any time.

3. Accounts, Security, and User Responsibilities

When you create an account, you agree to provide current, complete, and accurate information. You are solely responsible for maintaining the confidentiality of your account and password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use or breach of security. Failure to comply with these obligations may result in immediate termination of your account.

You may browse the Service without creating an account; however, an account is required to place an Order. You are responsible for all activity that occurs under your account, whether or not you authorized that activity. We reserve the right to disable any account at any time, including if we reasonably believe you have violated these Terms. Each individual may maintain only one account.

4. Acceptable Use and User Conduct

You agree not to use the Service to:

  • Engage in any unlawful, fraudulent, or harmful activities;
  • Post or transmit content that is offensive, defamatory, or violates any third-party rights;
  • Disrupt or interfere with the functioning of the Service;
  • Upload content that infringes on intellectual property rights of any third party, including trademarks, copyrights, and trade dress;
  • Create packaging designed to counterfeit, imitate, or misrepresent the origin of goods;
  • Upload files containing malware, viruses, or other malicious code;
  • Reverse-engineer, decompile, or disassemble any part of the Configurator or Service;
  • Use automated scripts, bots, or scrapers to access, monitor, or copy content from the Service;
  • Circumvent, manipulate, or exploit pricing mechanisms, promotional codes, or discount structures;
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.

We reserve the right to suspend or terminate your access to the Service and to refuse any Order containing prohibited content, at our sole discretion.

5. Prohibited Content Policy

Packwire reserves the right to refuse any Order containing content that, in its sole discretion, includes:

  • Content promoting hatred, violence, or discrimination based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or other protected characteristics;
  • Sexually explicit, pornographic, or obscene material;
  • Content promoting illegal activities, including but not limited to illegal drugs, terrorism, or human trafficking;
  • Intellectual property–infringing content, including counterfeit goods or unauthorized use of trademarks, copyrights, or other protected works;
  • Defamatory, libelous, or harassing content;
  • Content depicting or promoting harm to minors;
  • Content that violates any applicable local, state, provincial, national, or international law or regulation.

Packwire's determination regarding prohibited content is final and is not subject to appeal. Orders refused under this policy will receive a full refund. Repeated submission of prohibited content may result in permanent account termination.

6. Purchases and Payment

If you wish to purchase any product or service ("Purchase") available on the Service, you may be required to provide certain information, including your credit card details, billing address, and shipping information. You represent and warrant that (i) you are authorized to use the payment method provided and (ii) all information you submit is accurate and complete. By providing this information, you authorize us to share it with third parties solely for processing your Purchase. We reserve the right to refuse or cancel your order at any time for reasons including product or service availability, errors in description or pricing, or suspected fraud.

Pricing: All prices displayed on the Service are in USD unless otherwise indicated and are subject to change without notice. Prices do not include applicable taxes, customs duties, tariffs, or third-party fees unless explicitly stated.

Third-Party Fees: Any fees charged by third parties—including but not limited to bank wire transfer fees, currency conversion fees, international transaction fees, and payment processor surcharges—are the Customer's sole responsibility and will not be reimbursed by Packwire.

Order Confirmation: An Order is not binding until payment has been successfully processed and an order confirmation has been sent to the Customer. We reserve the right to verify payment information and delay processing for fraud review.

Minimum Order Quantities: Certain Products may be subject to minimum order quantities as indicated on the Service.

Promotional Pricing: Promotional pricing is subject to verification and may be governed by additional terms. We reserve the right to revoke promotional pricing applied in error.

Purchase Orders and Conflicting Terms: Payment terms, conditions, or other provisions included on a Customer's purchase order, requisition, or similar document do not constitute a modification of these Terms or of Packwire's invoice terms unless expressly agreed to in writing by an authorized representative of Packwire. In the event of any conflict between the terms of a Customer's purchase order and these Terms or Packwire's invoice, these Terms and the invoice shall prevail.

7. Availability, Errors, and Inaccuracies

While we strive for accuracy, we cannot guarantee that information on the Service (including prices, product images, specifications, and availability) is error-free or complete. We reserve the right to change or update information, correct errors, and discontinue products or services at any time without prior notice.

Product images displayed on the Service are illustrative and may not exactly represent the final Product in terms of color, texture, or finish. We reserve the right to limit the quantities of any Product or Service that we offer.

Icons, graphics, and other visual elements used throughout the Service are for illustrative purposes only and should not be interpreted as certifications, endorsements, or guarantees. Descriptions of our business practices, processes, and materials reflect our general approach and intentions at the time of publication. Actual practices may vary due to material availability, supplier constraints, regulatory requirements, or other factors beyond our control. Such statements do not constitute binding commitments or warranties of any kind.

Certain statements on the Service may describe practices, standards, or values that apply to our Core Business and may not extend uniformly to every Business Unit. We maintain an internal policy of continuous improvement and strive, to the best of our abilities and within what is commercially and operationally feasible, to uphold the standards we describe. However, no statement on the Service should be construed as a guarantee that a particular practice is applied universally across all aspects of our operations at all times.

8. Contests, Sweepstakes, and Promotions

Any contests, sweepstakes, or other promotions ("Promotions") offered through the Service are subject to their own specific rules, which may be posted on the relevant Promotion page or otherwise made available to you. By participating in any Promotion, you agree to abide by the applicable rules in addition to these Terms. We reserve the right, in our sole discretion, to modify, suspend, or cancel any Promotion, in whole or in part, at any time and for any reason without prior notice and without incurring any liability to you or any third party. In the event of any conflict between the Promotion rules and these Terms, the Promotion rules shall prevail with respect to that Promotion. Promotions may be offered for a limited time only, and your participation in any Promotion constitutes your acceptance of any modifications or cancellations.

9. Artwork and File Requirements

Resolution: Raster images (JPEG, PNG, TIFF) must be at least 300 DPI at the intended print size. Low-resolution images will result in blurry or pixelated prints, which is not Packwire's responsibility. The Configurator may accept low-resolution files without displaying a warning.

Color Mode: For best results, submit Artwork in CMYK color mode. Files submitted in RGB will be automatically converted to CMYK, which may result in color shifts (see Section 11).

Font Rendering: Text below 9 point size may not render clearly in print. Thin, decorative, or script fonts may be problematic at small sizes. All fonts should be outlined (converted to vector paths) before uploading. Packwire is not responsible for font rendering issues in the final Product.

Bleed and Safe Zones: Artwork must extend to the bleed line, which is 0.25" (6mm) beyond the trim edge, to prevent white borders from appearing on the finished Product. All critical content (text, logos, important graphics) must be placed within the safe zone, which is 0.25" (6mm) inside the trim edge. The Configurator provides visual guides for bleed and safe zones.

File Formats: Common file formats are accepted. High-resolution PDF, AI, EPS, and TIFF files are recommended for best results. Transparency, overprint settings, and blending modes may not translate correctly between applications—review the Online Proof carefully to verify these elements.

10. User Content and Artwork Responsibility

The Customer bears full and sole responsibility for all content uploaded to the Service, including but not limited to Artwork, text, images, logos, and designs. Packwire does not review uploaded content for accuracy, legality, or quality and is not responsible for:

  • Spelling, grammar, or typographical errors in Customer-provided text;
  • Low-resolution or pixelated graphics that result in blurry prints;
  • Color shifts resulting from RGB-to-CMYK conversion (see Section 11);
  • Damaged, corrupted, or improperly embedded fonts;
  • Transparency, overprint, or blending issues in uploaded files;
  • Color conversion artifacts;
  • Intellectual property infringement contained in Customer Artwork;
  • Inaccurate dimensions or specifications provided by the Customer.

By uploading Artwork, you represent and warrant that you own or have obtained all necessary rights, licenses, and permissions for all content contained therein, and that such content does not infringe or violate the intellectual property rights, privacy rights, or any other rights of any third party.

If Packwire receives a complaint or legal notice regarding Customer-uploaded content, we will notify the Customer where possible. Packwire reserves the right to suspend or cancel any Order containing disputed content at its sole discretion.

11. Printing Method and Color Accuracy

The printing methods and standards described in this section apply to our Core Business. Orders outside the Core Business definition may involve different printing methods, equipment, and processes.

Digital CMYK Printing: Packwire Products are printed using digital CMYK (Cyan, Magenta, Yellow, Key/Black) printing, a subtractive color model in which inks absorb light to produce color. The CMYK color gamut is smaller than the RGB color gamut used by digital screens. As a result, vivid blues, greens, neons, and other highly saturated colors that appear on screen may not be reproducible in print. Files submitted in RGB color mode will be automatically converted to CMYK, which may result in noticeable color shifts.

Screen vs. Print: Computer monitors display color using RGB (Red, Green, Blue) light emission, while printed Products use CMYK inks. Due to fundamental differences between these color models, as well as variations in monitor calibration, brightness settings, ambient lighting, and display technology, colors on screen will not exactly match printed output. Slight variations between on-screen appearance and the final printed Product are inherent to the printing process and are not considered defects.

On-Screen Size and Scale: The Configurator preview is a digital approximation of the Product. The apparent size of the Product on screen depends on your device's resolution, DPI, and zoom level, and does not represent the physical dimensions of the Product. Always refer to the stated dimensions in the Order specifications for accurate sizing.

Material Effects on Color: The substrate material affects the appearance of printed colors. Different board stocks (e.g., white, kraft, coated) interact with ink differently, and colors may appear muted, shifted, or altered depending on the substrate. Customers should account for substrate color and texture when designing Artwork.

Ink Coverage: Solid flood coats (large areas of uniform color) may exhibit slight banding or streaking, which is a normal characteristic of digital printing and is not considered a defect. Light tints below 10% coverage may appear uneven. Heavy ink builds may cause slower drying times or minor smearing.

Pantone/Spot Color: Pantone or spot color matching is available for an additional fee and involves a separate production process. Due to variables including substrate type, coating, and environmental conditions, an exact Pantone match is not guaranteed. Pantone matching is available only for specific order types. Standard CMYK printing cannot achieve Pantone color accuracy.

Coatings Effect on Color: Coatings applied to the finished Product may affect color appearance. Gloss coatings tend to increase color saturation, matte coatings tend to reduce saturation, and UV coatings may cause slight hue shifts.

Color Consistency Between Orders: Slight color variations between separate production runs are normal and expected. Factors including ink batch, substrate lot, ambient humidity, and press calibration may contribute to minor differences between orders.

Press and Equipment Variability: Packwire may print different jobs on different presses or equipment. The press used for a given Order is determined at Packwire's sole discretion and may differ between orders, including reorders of the same Product. Different presses may produce slight variations in color, registration, and finish.

12. Materials, Coatings, and Finishes

Materials: Packwire offers a range of substrate materials for its Products, including but not limited to white board, kraft board, and coated stocks. Material availability varies by box type and size. Different materials affect the appearance of printed colors (see Section 11).

Coatings: Available coating options may include matte, gloss, soft-touch, and UV finishes. Coatings affect the appearance and durability of the finished Product. Coating availability varies by Product type and material.

Supplier and Material Variability: Board stock, liner, coatings, and other materials are sourced from third-party suppliers and are subject to fluctuations in the pulp and paper industry. Material composition, thickness, color, texture, and availability may change at any time and without notice due to supplier changes, raw material availability, or market conditions. Packwire reserves the right to use commercially equivalent substitute materials without prior notice to the Customer.

13. Regulatory Compliance

Packwire manufactures custom packaging to Customer specifications. The Customer is solely responsible for ensuring that their Products, including all Artwork, labeling, claims, and intended use, comply with all applicable laws, regulations, and industry standards. Packwire does not provide legal, regulatory, or compliance advice.

OFAC and Sanctions Compliance: Packwire complies with all applicable sanctions laws and regulations administered by the U.S. Department of the Treasury's Office of Foreign Assets Control ("OFAC"). Packwire will not knowingly fulfill Orders for, or on behalf of, any individual, entity, or country that is the target of U.S. sanctions. Packwire reserves the right to screen Orders, delay processing, or cancel and refund any Order if it reasonably believes the Order may violate OFAC regulations or any other applicable sanctions program.

California Proposition 65: If the Customer's product requires a California Proposition 65 warning (Safe Drinking Water and Toxic Enforcement Act of 1986) on its packaging, the Customer is solely responsible for providing the appropriate warning language and ensuring it is included in the Artwork. Packwire does not determine whether a Customer's product requires a Proposition 65 warning and is not liable for the Customer's failure to include required warnings.

FDA and Food-Contact Compliance: Packwire's inks are graded for secondary food contact; however, suitability for any specific food-packaging application depends on the Product type, materials, coatings, and intended use. Customers intending to use Packwire Products for food packaging must contact Packwire to confirm suitability before placing an Order. The Customer is solely responsible for ensuring that such use complies with all applicable U.S. Food and Drug Administration ("FDA") regulations, including but not limited to 21 CFR Parts 174–186 governing food-contact materials. The Customer assumes all risk and liability associated with the use of Products for food packaging.

FTC Labeling and Advertising Compliance: The Customer is solely responsible for ensuring that any claims, certifications, endorsements, or representations printed on their packaging comply with all applicable U.S. Federal Trade Commission ("FTC") regulations, including the FTC Act, the Fair Packaging and Labeling Act, and the FTC's Guides Concerning the Use of Endorsements and Testimonials. Packwire prints Customer-provided content and does not verify the accuracy or legality of any claims or representations contained in Customer Artwork.

U.S. Export Controls: Orders placed through the Service must comply with all applicable U.S. export control laws and regulations, including the Export Administration Regulations ("EAR") administered by the Bureau of Industry and Security. Packwire will not knowingly fulfill Orders that would result in the export or re-export of Products in violation of U.S. export control laws. The Customer represents and warrants that their Order does not violate any applicable export restrictions.

14. Manufacturing Location

Packwire reserves the sole and absolute right to determine which manufacturing facility, plant, or production partner is used to fulfill any Order. This determination may be based on any factor, including but not limited to production capacity, equipment availability, material sourcing, turnaround requirements, cost efficiency, quality considerations, geographic proximity to the shipping destination, or any other operational or business reason. Packwire may change the assigned manufacturing facility at any time during the production process, without prior notice to the Customer and without affecting the terms or pricing of the Order.

Products may be manufactured in any USMCA (United States–Mexico–Canada Agreement) member country—the United States, Canada, or Mexico—without prior notice to the Customer. The USMCA is the trade agreement governing commerce between these three countries. Packwire always prioritizes manufacturing in the United States when operationally feasible.

If a Product is to be manufactured outside of USMCA member countries, the Customer will be advised before production begins.

The Customer acknowledges that the selection of manufacturing location is entirely within Packwire's discretion, and that Packwire is under no obligation to disclose, justify, or obtain approval for its choice of facility within USMCA member countries. Manufacturing location does not affect the Customer's rights or obligations under these Terms.

15. Online Proof and Design Approval

The Online Proof workflow described in this section applies to orders placed through the Configurator as part of our Core Business. Orders placed through other channels may be subject to different proof and approval processes.

The Online Proof is a digital approximation of the final Product and is not a press proof. It is intended to show layout, text, image positioning, and general color direction only.

By approving the Online Proof, the Customer confirms that:

  • All text and copy is correct, including spelling, grammar, and punctuation;
  • All images and graphics are positioned correctly;
  • The overall layout matches the Customer's intent;
  • The Customer accepts the color and material disclaimers described in Section 11 and Section 12.

Production begins immediately upon approval of the Online Proof. No modifications or cancellations will be accepted after approval.

Packwire is not responsible for errors that were present in the approved Online Proof. If the Online Proof is neither approved nor rejected within fourteen (14) days, Packwire may cancel the Order and issue a refund minus any applicable fees.

Customers are encouraged to review the Online Proof on a properly calibrated monitor in good lighting conditions.

16. Structural and Manufacturing Tolerances

All dimensions are intended to be precise. However, due to inherent manufacturing tolerances, minor variations in the final Product are normal and expected.

Dimensional Tolerance: The standard manufacturing tolerance is ±1/16" (1.5mm) on any stated dimension.

Score Lines and Folds: Slight positional variation in score lines and fold creases is inherent to the die-cutting process and is not considered a defect.

Die-Cut Tolerances: Edges, tabs, tuck flaps, and other die-cut features are manufactured to industry-standard tolerances of ±1/16" (1.5mm).

Assembly: Packwire Products are shipped flat and require customer assembly. Assembly instructions are available on our website. Packwire is not responsible for damage that occurs during customer assembly.

Over/Under Run: The final quantity of Products delivered may vary by up to ±10% from the quantity ordered. This variation is standard in the custom packaging industry and is due to normal production processes. If the final quantity exceeds the ordered amount (up to 10%), the Customer will be invoiced for the additional units at the same per-unit price. If the final quantity is less than the ordered amount (up to 10%), the Customer will receive a credit or refund for the shortfall at the same per-unit price. Packwire guarantees delivery of at least 90% of the ordered quantity. Exact quantities may be available upon request and may incur additional fees.

17. Shipping and Delivery

Order Fulfillment: All orders are subject to our shipping and delivery policies. Estimated delivery times are provided as guidelines and may be affected by unforeseen circumstances.

Accurate Information: You must provide accurate and complete shipping information. Packwire Inc is not responsible for delays or misdelivery resulting from incorrect or incomplete addresses provided by you.

Shipping Costs: All shipping costs, as well as any applicable taxes, tariffs, duties, or fees, are the responsibility of the customer unless otherwise stated.

Processing Time: Custom orders may require additional processing time. Production of your order will commence only after final approval of the online proof.

Carrier Handoff: Packwire's responsibility for shipments ends upon handoff to the shipping carrier. Risk of loss, damage, or delay transfers to the Customer at the point of carrier pickup. Claims for lost, damaged, or delayed shipments must be filed directly with the carrier. Packwire will provide tracking information and reasonable assistance in filing carrier claims.

Delivery Estimates: All stated delivery times are estimates and guidelines only and are not guaranteed. Total turnaround time includes both production time and transit time. Packwire is not liable for delays caused by shipping carriers, weather events, or customs processing.

International Orders: For international shipments, the Customer is solely responsible for all customs duties, import taxes, brokerage fees, and VAT or other taxes applicable in the destination country. Packwire is not responsible for customs delays, inspections, or seizures. See Section 18 for full details on fees and charges.

Address Changes: Address changes requested after order confirmation may result in additional charges or delays. Address changes after shipment may not be possible.

Alternative Shipping Terms: Depending on the Business Unit and at Packwire's sole discretion, shipping terms other than FOB origin may apply. Any alternative shipping terms will be communicated to the Customer via a formal quote, email, or other written correspondence. The shipping terms stated on Packwire's invoice or quote shall prevail in all cases. Shipping terms, delivery conditions, or Incoterms included on a Customer's purchase order do not constitute a modification of Packwire's shipping terms unless expressly agreed to in writing by an authorized representative of Packwire.

18. Fees, Taxes, Duties, and Third-Party Charges

The Customer is solely responsible for all fees, charges, and costs arising from or related to their transaction with Packwire, including but not limited to:

  • Bank wire transfer fees, currency conversion fees, and international transaction fees;
  • Credit card surcharges or payment processor fees charged by the Customer's financial institution;
  • Customs duties, import taxes, tariffs, brokerage fees, and VAT/GST/HST applicable in the Customer's jurisdiction;
  • Any re-delivery fees, storage fees, or return-to-sender charges imposed by shipping carriers;
  • Any fees imposed by government agencies for import/export compliance.

Packwire will not reimburse, credit, or offset any third-party fees under any circumstances.

Packwire is not responsible for estimating or advising on customs duties, taxes, or tariffs. Customers should consult their local customs authority or a licensed customs broker for guidance.

Prices displayed on the Service do not include customs, duties, taxes, or third-party fees unless explicitly stated.

19. Cancellations, Returns, and Refunds

Cancellations: You may cancel your order at any time before you approve the online proof. Once the proof is approved and production begins, cancellations are not permitted.

Cancellation Fees:

  • Before proof approval: Full refund, no cancellation fee.
  • After proof approval but before production begins: 25% cancellation fee; remainder refunded.
  • After production begins: No cancellation permitted; full amount due.

Defect Claims Timeline:

  • Within 30 days of delivery: Full review; eligible for reprint at no cost.
  • 31–60 days after delivery: Reviewed on a case-by-case basis; partial credit may be offered.
  • 61+ days after delivery: No refund or reprint will be issued.

All defect claims must be accompanied by photographs clearly showing the issue. Defects caused by Customer Artwork (see Section 10) are not eligible for refund or reprint.

Returns: All Products are custom-made and are generally not returnable. In cases of manufacturing defects, Packwire will reprint the order at no cost. The Customer must retain the defective Product for potential inspection. Disposing of defective Products before resolution of the claim may void the claim.

20. Intellectual Property and DMCA Notice

DMCA Notice: If you believe that content on the Service infringes your copyright, you may submit a DMCA notice to us. Your notice must include:

  • A physical or electronic signature of the copyright owner or authorized agent;
  • Identification of the copyrighted work claimed to have been infringed;
  • Identification of the material that is claimed to be infringing and its location on the Service;
  • Your contact information (address, telephone number, and email);
  • A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law;
  • A statement, under penalty of perjury, that the information in the notification is accurate and that you are the copyright owner or authorized to act on the owner's behalf.

Counter-Notification: If you believe your content was removed in error, you may submit a counter-notification including: (i) your physical or electronic signature; (ii) identification of the removed material and its former location; (iii) a statement under penalty of perjury that you have a good faith belief the material was removed by mistake; and (iv) your consent to jurisdiction in the appropriate federal court. We will process valid counter-notifications in accordance with the DMCA.

Repeat Infringers: We reserve the right to terminate accounts of users who are repeat infringers of intellectual property rights.

21. Social Media Content License

By placing an Order, you grant Packwire a non-exclusive, worldwide, perpetual, royalty-free license to photograph, display, and use images of the finished Product for marketing purposes, including but not limited to social media, website portfolio, trade show materials, and email newsletters.

Packwire will not attribute your brand name or share confidential business information without your consent, unless such information is already publicly available. This license does not grant Packwire ownership of any Customer intellectual property.

You may opt out of this license by sending written notice to hello@packwire.com before your Order ships.

22. Privacy, Data Collection, and Third-Party Links

Your use of the Service is also governed by our Privacy Policy. We use cookies and similar technologies to enhance your experience and analyze usage. By using the Service, you consent to our use of these technologies. Please review our Privacy Policy for details on how we collect, use, and protect your information.

The Service may include links to third-party websites that are not controlled by Packwire Inc. We are not responsible for the content, privacy policies, or practices of any third-party sites. We encourage you to review the terms and privacy policies of any third-party websites you visit.

23. Disclaimer of Warranties and Exclusions

The Service is provided "AS IS" and "AS AVAILABLE" without any warranties of any kind, either express or implied. Packwire Inc does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Your use of the Service is at your own risk.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so certain limitations above may not apply to you. If any part of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

24. Limitation of Liability

To the fullest extent permitted by law, Packwire Inc and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from (i) your access to or use of, or inability to access or use, the Service; (ii) any conduct or content of any third party on the Service; or (iii) any unauthorized access, use, or alteration of your transmissions or content.

Liability Cap: Packwire's total aggregate liability arising out of or related to any Order shall not exceed the total amount paid by the Customer for the specific Order giving rise to the claim. This limitation applies regardless of the form of action, whether in contract, tort, strict liability, or otherwise.

Third-Party Exclusions: Packwire is not liable for any delays, defects, or losses caused by third-party providers, including but not limited to shipping carriers, payment processors, and material suppliers.

Packwire is not liable for any loss of business, revenue, profits, or goodwill arising from the use of or inability to use the Service.

25. Indemnification

You agree to indemnify, defend, and hold harmless Packwire Inc, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service or violation of these Terms;
  • Any infringement by you of any intellectual property or other right of any person or entity;
  • Intellectual property claims arising from Customer Artwork, including trademark, copyright, and trade dress claims;
  • Regulatory or compliance claims related to labeling, food safety, or other industry-specific requirements applicable to your Products;
  • Any misrepresentation of your authority to act on behalf of a business entity.

26. Termination and File Retention

We may terminate or suspend your access to the Service immediately, without notice, if you breach these Terms or for any other reason. Upon termination, all rights granted to you will immediately cease. All provisions that by their nature should survive termination (such as intellectual property, indemnification, and limitations of liability) will remain in effect.

File Retention: Packwire will retain Customer files and design data for a period of five (5) years from the date of upload or last order, whichever is later, to facilitate reorders and support. After this five-year period, Packwire may continue to retain files but is under no obligation to do so, and files may be deleted without notice.

Post-Termination Deletion: Upon termination of your account, Packwire will retain Customer files for the remainder of the five-year retention period. After that period, files may be deleted. Customers are solely responsible for maintaining their own backups of all uploaded Artwork, designs, and data.

Packwire is not liable for any loss of files, designs, or data, whether resulting from account termination, inactivity, or any other cause.

27. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States and, where applicable, the laws of the Province of Ontario, Canada, without regard to their conflict of law provisions.

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules (for disputes involving U.S. Customers) or by the ADR Institute of Canada (for disputes involving Canadian Customers). The arbitration shall take place in New York, NY or Ottawa, ON, unless mutually agreed otherwise. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: All disputes shall be conducted on an individual basis only. The Customer waives any right to participate in a class action, consolidated action, or representative action. No arbitration or court proceeding may be combined with another without the prior written consent of all parties.

Small Claims Exception: Either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

Opt-Out: You may opt out of the binding arbitration and class action waiver provisions by sending written notice to hello@packwire.com within thirty (30) days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out.

28. Force Majeure

Packwire Inc shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond its reasonable control, including, without limitation, acts of nature, war, terrorism, labor disputes, or governmental actions.

29. General Provisions

Assignment and Severability: You may not assign or transfer any rights under these Terms without our prior written consent. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and Packwire Inc regarding the Service and supersede all prior agreements, understandings, or representations.

Modifications: We reserve the right to modify or update these Terms at any time, with a notice period of at least 30 days for material changes. Your continued use of the Service following any such changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service.

30. California Transparency in Supply Chains Act

In compliance with the California Transparency in Supply Chains Act of 2010 (SB 657), Packwire provides the following disclosures regarding its efforts to address and prevent human trafficking and forced labor in its supply chain:

Verification: Packwire evaluates and addresses risks of human trafficking and forced labor in its supply chain. We assess suppliers through questionnaires and, where feasible, third-party audits.

Auditing: Packwire conducts periodic reviews of key suppliers to evaluate compliance with our standards regarding forced labor, human trafficking, and child labor. Audits may be announced or unannounced.

Certification: Packwire requires direct suppliers to certify that the materials incorporated into our Products comply with applicable laws regarding slavery and human trafficking in the country or countries where they do business.

Internal Accountability: Packwire maintains internal accountability standards for employees and contractors who fail to meet company standards regarding slavery and human trafficking. Violations may result in disciplinary action up to and including termination of employment or contract.

Training: Packwire provides training to employees and management with direct responsibility for supply chain management on identifying and mitigating risks of human trafficking and forced labor.
